Welcome to PickleTour Pro ("Company", "we", "us", or "our"), operated by PickleTour Pro Limited, a corporation duly organized and existing under the laws of the Hong Kong Special Administrative Region (HKSAR).
These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you (whether an individual or representing a corporate entity) and PickleTour Pro regarding your access to and use of our SaaS (Software as a Service) platform, API architectures, and enterprise sports management systems accessible via https://pickletour.pro.
BY CREATING AN ACCOUNT, PURCHASING PLATFORM CREDITS, OR USING OUR SERVICES, YOU EXPLICITLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU ARE STRICTLY PROHIBITED FROM USING THE SERVICES.
1.1 Grant of License: Subject to your continuous compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable enterprise license to access and use the PickleTour Pro platform strictly for organizing, managing, and broadcasting sports tournaments.
1.2 Restrictions: You shall not: (a) decipher, decompile, disassemble, or reverse engineer any of the platform's core architecture; (b) lease, sub-license, or resell the platform access to unauthorized third parties; (c) use the platform to build a competitive product; (d) bypass API rate limits or deploy scraping algorithms.
2.1 Account Security: You are absolutely responsible for maintaining the confidentiality of your credentials. You must immediately notify us of any unauthorized access to your Enterprise Account.
2.2 Anti-Money Laundering (AML) & KYC: PickleTour strictly adheres to international AML frameworks. By transacting on our platform, you warrant that your funds are derived from legitimate commercial sources. We and our partnering Payment Service Providers (PSPs) reserve the right to request Know Your Business (KYB) and Know Your Customer (KYC) documentation (e.g., corporate registries, tax ID, passports of directors) before clearing high-volume credit allocations.
2.3 Prohibited Jurisdictions: You represent that you are not located in, nor operating under the control of, any country subject to comprehensive international sanctions by the UN, OFAC, EU, or HKSAR.
3.1 Platform Credits: Services are rendered via a prepaid "Platform Credit" system. Credits are consumed dynamically as you deploy tournament brackets, add teams, or utilize broadcasting modules.
3.2 Payments: All commercial transactions are processed through certified third-party gateways (e.g., Stripe, Tazapay, PayOS). You authorize us and our PSPs to charge your designated payment method for all purchases.
3.3 Strict No-Refund Policy: Due to the immediate, digital, and irrevocable nature of Cloud Infrastructure Allocations, ALL PAYMENTS AND CREDIT PURCHASES ARE STRICTLY NON-REFUNDABLE. We do not provide cash refunds for unused credits, account downgrades, or partial usage.
3.4 Chargeback Abuse: Any fraudulent chargeback attempts via your credit card issuer will result in immediate permanent account termination, and the debt will be forwarded to an international collection agency.
You agree not to use the PickleTour platform to:
5.1 PickleTour IP: We retain all global right, title, and interest in the PickleTour Pro software, algorithms, databases, and UI/UX designs.
5.2 Client Data: You retain full ownership of the data you upload (athlete rosters, tournament logos, scores). By utilizing the Services, you grant us a worldwide, royalty-free license to host, display, and process your data strictly to execute the platform's functionalities.
6.1 \"As-Is\" Delivery: THE SERVICES ARE PROVIDED ON AN \"AS-IS\" AND \"AS-AVAILABLE\" BASIS. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
6.2 Uptime: While we strive for 99.9% high availability, we do not guarantee uninterrupted access. System maintenance, AWS/GCP outages, or Force Majeure events may cause temporary unavailability.
6.3 Fair Play Liability: PickleTour provides purely technological administration tools. We hold zero liability regarding physical tournament execution, athlete injuries, prize money distributions, or match-fixing disputes between organizers and players.
7.1 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PICKLETOUR PRO LTD. BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF SPONSORSHIP REVENUE OR DATA CORRUPTION). OUR TOTAL AGGREGATED LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
7.2 Indemnification: You agree to fully indemnify and hold harmless PickleTour, its directors, and affiliates from any third-party claims, fines, or legal fees arising from your breach of this Agreement, violation of sports laws, or physical event liabilities.
Our platform is a strictly Business-to-Business (B2B) enterprise application. By registering an account, purchasing credits, or utilizing our APIs, you explicitly warrant that you are at least eighteen (18) years of age and possess the legal capacity to form a binding contract under applicable HKSAR laws. We do not knowingly market our infrastructure to minors.
If you believe that any User-Generated Content (e.g., tournament logos, club banners) hosted on our cloud infrastructure violates your intellectual property rights, please submit a formal takedown notice to help@pickletour.pro. Your notice must include digital signatures, exact URLs of the infringing material, and a statement of good faith. We will aggressively suspend accounts engaged in repeated IP theft.
8.1 Jurisdiction: This Agreement shall be exclusively governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to conflict of law principles.
8.2 Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement shall be referred to and finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC). The seat of arbitration shall be Hong Kong, and proceedings shall be in English.
